2. Nature of the Service

2.1. The Platform provides the Customer with technological infrastructure for building, designing, hosting, and managing a professional website, including: creation of pages and content with AI assistance based on information provided by the Customer; a content management system; receiving inquiries from Visitors; accompanying marketing and content tools; and additional services as offered from time to time.

2.2. The Operator is a provider of infrastructure and tools only. The Operator is not a party to any engagement between the Customer and the Customer's clients or Visitors, does not provide any professional service of the kind the Customer provides (therapeutic, medical, legal, financial, educational, or otherwise), and does not supervise the quality of the Customer's services.

2.3. The Operator may update, improve, add, or remove components and features of the Platform from time to time, provided this does not materially detract from the core of the purchased Service.

2.4. The Service is provided AS IS and AS AVAILABLE. The Operator will act reasonably to maintain high availability of customer sites but does not undertake continuous operation free of faults or interruptions.

2.5. Experimental ("beta") features. The Operator may from time to time offer features or services marked as experimental, "beta", or "lab". Such features are provided as is for trial purposes, may change, be limited, or be discontinued at any time without notice, and should not be relied upon for essential needs. Discontinuing a beta feature does not constitute a detraction from the core of the Service for the purposes of Section 2.3.

2.6. Meeting booking and Google Calendar connection. Where the meeting-booking feature is active on the Customer's plan, it allows Visitors to book meetings in the Customer's calendar through the Customer's Site. The meetings themselves - their occurrence, content, and anything arising from them - are a matter between the Customer and the Customer's clients, in accordance with Section 2.2, and the Operator is not a party to them. Payment for meetings cannot be collected through the Platform, and any price stated in a meeting description is information provided by the Customer only. Confirmation, reminder, change, and cancellation messages sent to inquirers as part of the feature are service messages sent on the Customer's behalf. The Customer may, entirely at their own choice, connect their Google Calendar to this feature; the scope of calendar access, its use, and the manner of disconnection are detailed in the Privacy Policy, and the provisions of Section 19.3 regarding third-party services apply to the connection.

3. Account, eligibility, and engagement

3.1. The Service is intended for adult professionals (over 18) with legal capacity, acting in the course of their professional occupation. The Service is not intended for private consumers who are not business owners or practitioners.

3.2. Opening an account on the Platform is done by invitation or registration in accordance with the Operator's procedures. The Customer undertakes to provide correct, accurate, and up-to-date details and to update them upon any change.

3.3. The Customer is responsible for keeping their account access credentials confidential and for any action taken in their account. The Customer must notify the Operator without delay of any suspicion of unauthorized account use.

3.4. Acceptance of these Terms is a precondition to using the Service. Acceptance is performed actively (checking a box) before the setup process begins (the intake questionnaire), and the Operator keeps a record of the time of acceptance and the version accepted. Continued use of the Service constitutes ongoing agreement to its terms.

3.5. Engagement on behalf of a corporation. Anyone accepting these Terms or using the Service on behalf of a corporation or another body declares and undertakes that they are authorized to bind that body to these Terms; in such case "the Customer" shall be deemed to include that body, jointly and severally with the user acting on its behalf.

4. Customer responsibility for content - personal review before publication

4.1. The Customer is the sole author, editor, and publisher of all content on their site. The role of the Platform's AI tools is assistance in drafting and production only, based on information the Customer provided, and they are no substitute for the Customer's judgment.

4.2. The Customer declares and undertakes to personally read and review every document, page, article, image, and post before its publication or distribution, whether on their site or in any other channel, and not to publish content they have not reviewed.

4.3. The Customer is aware that AI content may include errors, inaccuracies, incorrect information, outdated information, and even "hallucinations" - fabricated details presented as facts. AI content therefore requires careful curation: critical reading, checking, and verification of every fact, figure, professional claim, and credential citation before publication.

4.4. The Customer undertakes that all content they publish: (a) is true and not misleading; (b) does not violate law, including defamation, privacy protection, copyright and intellectual property, consumer protection, and the prohibition of misleading advertising; (c) does not violate ethics rules applicable to the Customer's profession, including professional advertising restrictions to the extent applicable; (d) does not include promises of results, cure claims, or professional representations without basis.

4.5. Warnings and guidance shown on the Platform near the content creation tools (including reminders to review AI content) are informational only; their presentation, existence, or absence does not detract from the Customer's full responsibility under this section.

5. Full disclaimer of Operator liability for published content

5.1. It is clarified and agreed that the full, absolute, and exclusive responsibility for all content published on the Customer's Site or distributed through the Platform - including AI content - rests with the Customer alone.

5.2. The Operator shall bear no liability, direct or indirect, in tort, contract, or otherwise, toward the Customer, the Customer's clients, Visitors, or any third party, for: (a) content published on the Customer's Site or distributed through the Platform; (b) any person's reliance on such content; (c) damage, loss, or expense caused by an error, inaccuracy, omission, or misleading statement in content, including AI content.

5.3. The Customer hereby finally and absolutely waives any claim, demand, or suit against the Operator in connection with content published by them or on their behalf, including content created with the assistance of the Platform's tools.

5.4. Nothing in this section detracts from liability that cannot be contracted out of by law.

6. Declaration of accuracy of professional details

6.1. The Customer declares that all professional details they provide to the Platform and that are displayed on their site - including their name, titles, education, training, certificates, licenses, professional association memberships, experience, and specialties - are true, accurate, and up to date.

6.2. The Customer undertakes to update without delay any professional detail that has changed, including expiry, suspension, or restriction of a license or certification.

6.3. The display of a professional detail on the Customer's Site is the Customer's declaration alone; the Operator does not check or verify professional details and is not responsible for their accuracy.

7. Additional professional responsibility - medical, paramedical, legal, and financial occupations

In addition to all other provisions of these Terms, a Customer whose occupation is in a medical, paramedical, health, legal, financial, insurance, pension, or bureaucratic-regulatory field ("Regulated Occupation") declares and undertakes as follows:

7.1. Valid license and certification - that they hold the valid license, certificate, or certification required by law for their occupation, and that they will cease displaying any representation concerning their occupation on the site if and when their license expires, is suspended, or is restricted.

7.2. Regulatory compliance of publications - that every claim, representation, and publication on their site will comply with the law and the ethics rules applicable to their profession, including restrictions on advertising by regulated professionals, the prohibition on promising results, and the prohibition on potentially misleading representations.

7.3. Content is not advice - that the content on their site is general information only and does not constitute medical, therapeutic, legal, financial, tax, pension, or insurance advice, and is no substitute for personal consultation; and that they will ensure the content on their site is not phrased in a way that could be understood as personal advice, diagnosis, or a recommendation for a concrete case.

7.4. Heightened caution with AI content - that in Regulated Occupations an error in content can cause real harm, and they will therefore take extra care in reviewing all AI content, including factual, professional, and regulatory verification, before publication.

7.5. The provisions of this section form part of the one-time acceptance of these Terms and do not add a separate approval obligation for each publication.

8. Intellectual property

8.1. Customer content - all content the Customer provided to the Platform, and the finished content published on their site (including AI content produced for them within the Service), belongs to the Customer, subject to third-party rights and payment of the consideration. The Customer grants the Operator a non-exclusive license to use the content as required to operate the Service (hosting, processing, display, backup).

8.2. The Platform - all intellectual property rights in the Platform itself - including the software, code, designs, templates, system components, the "Practicot" brand, trademarks, and know-how - belong to the Operator alone. The Customer is granted no right in the Platform other than a limited, personal, non-transferable license for the engagement period and for the purpose of the Service only.

8.3. The Customer declares that they hold all rights in any content they provide to the Platform (including images, logo, and texts) and that it does not infringe any third-party right.

8.4. The Customer is aware that the legal status of copyright in AI-created content is not fully settled in law, and that the Operator does not warrant that AI content will grant the Customer an enforceable copyright or that it is unique and that similar content will not be created for others.

9. Feedback and suggestions

9.1. If the Customer provides the Operator feedback, a comment, an idea, or a suggestion for improving the Service ("Feedback"), the Operator may use the Feedback, implement it, and integrate it into the Platform, without consideration, without a confidentiality obligation, and without attribution, and the Customer waives any claim in connection therewith. This does not grant the Operator any right in the Customer's own content as set out in Section 8.1.

10. Consideration, subscription, and renewal

10.1. The Service is provided for a fee, in accordance with the plans, packages, and prices detailed in the Operator's price list as updated and published on the Platform from time to time ("the Price List"). Plan details, billing periods, payment methods, and renewal terms are as detailed in the Price List and the order documents.

10.2. The Operator may update the Price List; a price update will apply to a subsequent billing period only and after advance notice as required by law.

10.3. Non-payment on time may result, after warning, in suspension of the Service or parts of it, in accordance with Section 18 below.

10.4. Cancellation and refunds - as detailed in Sections 10.5-10.7 below, in the Price List, in the order documents, and under any applicable law.

10.5. Automatic renewal. A subscription renews automatically at the end of each billing period for an additional period of the same kind, unless the Customer cancelled before the renewal date. Notice of renewal and billing dates appears on the subscription screen in the portal.

10.6. 30-day guarantee. In accordance with the "30 days to get acquainted" policy as published on the Platform: a Customer is entitled, once, to a full refund of the subscription fee if they gave notice of cancellation within 30 days of the first payment, with no reason required. The refund will be made within 7 business days of the request, through the published contact channels (portal, email, WhatsApp). Boost packages that were used, in whole or in part, are not refundable. Upon the refund the Customer's site will be taken offline, and the Customer will be entitled to receive an export of their content as set out in Section 18.3.

10.7. Cancellation after 30 days. Cancelling a subscription after the guarantee period stops the next charge and does not entitle a refund for the period already paid; the Customer's site will continue operating until the end of the paid period and will be taken offline 30 days after its end.

10.8. Chargebacks. In any billing dispute the Customer shall first contact the Operator for clarification. A chargeback submitted in bad faith, without prior contact, or for a service actually provided shall be considered a material breach of these Terms, and the Operator may suspend the Service and collect from the Customer the costs incurred in the proceeding.

10.9. Taxes. All prices in the Price List include VAT as required by law. The Operator will issue a lawful tax invoice/receipt for every payment.

10.10. One-time purchases. Boost packages and other one-time purchases are consumed upon use and are not refundable after use; unused balances expire at the end of the engagement.

11. Domains

11.1. Subdomain provided by the Operator. A subdomain under practicot.com (or another domain of the Operator) is allocated to the Customer as a license to use only, for the engagement period and for the Customer's Site only; it carries no proprietary right and will cease operating upon termination of the engagement or removal of the site.

11.2. Personal domain. Purchasing a personal domain, holding it, and renewing it are done by the Customer directly with a domain registrar, under the registrar's terms and the rules of the governing bodies (including ICANN and the Israel Internet Association). The Operator is not a party to the domain transaction, does not collect its fees, and is not responsible for its registration, renewal, expiry, or loss. The domain remains the Customer's property after the engagement with the Operator ends.

11.3. Connecting a domain to the Platform. The Customer is responsible for making the DNS settings required to connect the domain to their site; the Operator will provide instructions and reasonable assistance. The Operator is not responsible for faults originating with the registrar, in settings made by the Customer, or with a third party.

12. Privacy and data

12.1. Collection of personal data, its use, retention, and security are carried out in accordance with the Operator's Privacy Policy, which forms an integral part of these Terms, and in accordance with the Protection of Privacy Law, 5741-1981, including Amendment No. 13, and the Protection of Privacy Regulations (Data Security), 5777-2017.

12.2. With respect to personal data of Visitors and inquirers collected through the Customer's Site (for example inquiries and leads): the Customer is the controller of the database and responsible for it by law, and the Operator acts as a holder/processor on the Customer's behalf for the purpose of providing the Service only. The Customer is responsible for their own compliance with their obligations under privacy law, including informing inquirers, obtaining consents as required, and responding to data subject requests.

12.3. The Customer undertakes not to enter into the Platform personal data not required for the Service, including not to publish on their site personal or sensitive information about their clients (including medical information) without lawful explicit consent.

12.4. The Operator implements reasonable and accepted data security measures; however, it cannot guarantee absolute immunity from intrusion or disruption, and the Customer is aware of the risks inherent in online activity.

12.5. Connecting a Google Calendar to the meeting-booking feature is optional only. Calendar access is limited to reading availability (free/busy) and managing meeting events in a calendar owned by the Customer, access tokens are stored encrypted, and all as detailed in the Privacy Policy. Visitor details provided when booking a meeting are treated as inquiries for the purposes of Section 12.2.

13. Prohibited uses

The Customer undertakes not to do any of the following on the Platform or their site, whether themselves or through another:

13.1. Publishing content that is unlawful, misleading, offensive, inciting, racist, sexual in a prohibited context, or content constituting defamation or a privacy violation;

13.2. Impersonating another, misrepresenting certification or professional identity, or offering a service the Customer is not lawfully authorized to provide;

13.3. Infringing third-party intellectual property rights;

13.4. Using the Platform to send prohibited mailings ("spam") contrary to Section 30A of the Communications Law (Telecommunications and Broadcasts), 5742-1982;

13.5. Harming the Platform or attempting to harm it, including intrusion into systems, bypassing security measures, reverse engineering, intentional overloading, or unauthorized automated use;

13.6. Selling, renting, or transferring access to the Service to a third party without the Operator's prior written consent;

13.7. Any other use contrary to law, to these Terms, or to reasonable instructions of the Operator.

14. Notice and takedown procedure (third-party infringement claims)

14.1. Anyone who believes content on a customer site infringes their rights - including copyright, trademark, the right to privacy, or a defamation claim - may contact the Operator at support@practicot.com, attaching: precise identification of the content and its address (URL), the nature of the claimed right and the basis for the claim, the applicant's details and contact channels, and a declaration that the application is made in good faith.

14.2. The Operator may - but is not obligated to - at its reasonable discretion: remove or block content subject to an application, temporarily or permanently; forward the application to the relevant Customer for their response; and restore removed content if satisfied that it is not infringing. Where possible, the Customer will be notified of such removal.

14.3. Removal, blocking, or restoration of content under this section shall not be considered a breach of the Operator's obligation toward the Customer and shall not entitle the Customer to compensation or a refund.

14.4. Nothing in this section imposes on the Operator a duty of proactive monitoring of content on customer sites, or liability for such content, beyond what is prescribed by law.

15. Accessibility of customer sites

15.1. The Platform's templates and built-in components are developed with regard to the accessibility requirements applicable to websites in Israel (IS 5568 at WCAG 2.0 AA level), and the Platform provides every customer site a built-in, editable accessibility statement.

15.2. The Customer is responsible for the accessibility of the content they add or edit on their site - including alternative text for images, phrasing, files, and documents they upload - for the correctness and currency of the accessibility coordinator details shown in the statement, and for their own compliance with any accessibility obligation applicable to them by law with respect to their business and services.

16. Backups and copies

16.1. The Operator performs operational backups of the Platform for service continuity purposes. These backups are not an archive service for the Customer, and they carry no undertaking of item-level restoration of content deleted by the Customer.

16.2. The Customer is responsible for keeping copies of the source materials they provided to the Platform (texts, images, documents). The right to export content at the end of the engagement is as set out in Section 18.3.

17. Credit and display of customer sites

17.1. Customer sites may include an attribution notice by the Platform (such as "Built with Practicot") at the bottom of the site, according to the Customer's plan and as detailed in the Price List.

17.2. The Operator may display the Customer's Site (name, screenshot, and link) in its portfolio, examples gallery, and marketing materials. A Customer may at any time request removal of their site from such display, via the support channels, and the Operator will remove the display within a reasonable time.

18. Suspension and termination

18.1. The Operator may suspend the Service, in whole or in part, or remove specific content, immediately and at its reasonable discretion, in cases of: material breach of these Terms; substantial concern of a violation of law or harm to a third party; a demand of a competent authority or court order; a security risk; or non-payment not remedied after warning.

18.2. Where possible in the circumstances, the Customer will be given advance notice and a reasonable opportunity to remedy the breach before suspension or termination.

18.3. Either party may terminate the engagement in accordance with the plan terms and the law. Upon termination: the Customer's access to the Platform will end; the Customer's site will be taken offline in accordance with Sections 10.6-10.7; and the Operator will allow the Customer, for a reasonable period detailed in its procedures, to export their content and their inquiry data, after which it may delete them subject to retention obligations under law.

18.4. Sections whose nature is to survive termination - including Sections 4-9, 12, and 19-21 - shall continue to apply after it.

19. General disclaimers and limitation of liability

19.1. In addition to and without detracting from Section 5 above: the Operator, its officers, employees, and anyone on its behalf shall not be liable for any indirect, consequential, special, or punitive damage, including loss of income, loss of profit, loss of data, loss of goodwill, or loss of business opportunity, caused to the Customer or a third party in connection with the Service.

19.2. Without detracting from the foregoing, the Operator's total and cumulative liability toward the Customer, on any ground whatsoever, shall not exceed the total consideration actually paid by the Customer to the Operator in the twelve (12) months preceding the date the cause of action arose.

19.3. The Operator is not responsible for third-party services integrated in or depended upon by the Service (including domain registrars, hosting and cloud providers, AI model providers, email services, and communication networks), for their availability, or for their outputs.

19.4. The Operator does not undertake any business or marketing results from use of the Service, including exposure levels, search engine rankings, or the number of inquiries or clients.

19.5. The limitations of liability in these Terms shall apply to the maximum extent permitted by law.

20. Indemnification

20.1. The Customer undertakes to indemnify and compensate the Operator, its officers, employees, and anyone on its behalf, immediately upon its first demand, for any damage, loss, expense, payment, or liability (including reasonable attorneys' fees and litigation costs) caused to them due to: (a) content published by the Customer or on their behalf; (b) the Customer's breach of these Terms; (c) the Customer's violation of law or infringement of third-party rights; (d) a claim, demand, or suit of a third party - including a client of the Customer - in connection with the Customer's services or reliance on content on their site.

20.2. The Operator will notify the Customer of any such claim or suit within a reasonable time and will allow the Customer to participate in the defense against it, without detracting from its right to conduct its own defense itself.

21. Governing law and jurisdiction

21.1. These Terms and anything arising from them shall be governed by the laws of the State of Israel alone, without its conflict-of-law rules.

21.2. Exclusive jurisdiction in any dispute concerning these Terms or the Service is vested in the competent courts of the Tel Aviv-Jaffa district, and them alone.

22. Changes to these Terms

22.1. The Operator may update these Terms from time to time. The updated version will be published on the Platform with a version number and update date.

22.2. A material change to these Terms - including a change in the scope of the parties' liability, in content rights, or in the principles of data handling - will require renewed acceptance by the Customer (a checked box and a recorded version) on their next login to the system, before continued use. Non-material changes take effect upon publication, and continued use of the Service constitutes agreement to them.

22.3. The Operator keeps a record of Terms versions and of each Customer's acceptance dates.

23. Miscellaneous

23.1. These Terms, together with the Privacy Policy, the Price List, and the order documents, exhaust the full agreements between the parties in connection with the Service and prevail over any prior representation or agreement.

23.2. If any provision of these Terms is held void or unenforceable, this shall not affect the validity of the remaining provisions, and the provision shall be interpreted or replaced in a manner fulfilling its purpose to the maximum extent permitted.

23.3. The Operator's refraining from enforcing a right shall not be considered a waiver of it.

23.4. The Customer may not assign their rights or obligations under these Terms without the Operator's prior written consent; the Operator may assign them as part of a transfer of its business, provided the Customer's rights are not harmed.

23.5. For inquiries regarding these Terms: support@practicot.com, or by mail: Adv. Nathan Kummel, 27 Yitzhak Rabin St., Kiryat Ono.

23.6. Notices. Notices from the Operator to the Customer will be delivered by email to the address registered in their account or by a portal notification, and will be deemed delivered within one business day of sending. Notices from the Customer to the Operator - to the contact channels in Section 23.5.

23.7. Force majeure. The Operator shall not be considered in breach of its obligations to the extent a delay or failure was caused by circumstances beyond its reasonable control, including failure of communication or cloud infrastructure, an external cyber attack, war, epidemic, strike, or an order of an authority; and it will act reasonably to restore the Service as soon as possible.
